Somnivet Terms of Use

The Somnivet website and platform (the "Site") are owned and operated by Somnivet Inc. (“Somnivet”). These Terms of Use (the “Terms”) constitute a legal agreement between you and Somnivet with respect to your access to and use of the Site and its features.

PLEASE READ THESE TERMS CAREFULLY. By browsing the Site or using its features, including our anesthesia support tools (the “Features”), you agree to be bound by these Terms. If you do not agree to these Terms, please cease all use of the Site immediately.

1. Acceptance of Conditions and Privacy

A separate document, the Privacy Policy, explains how Somnivet handles personal information. By using the Site, you accept that Policy.

Somnivet reserves the right to modify these Terms at any time. Your continued use of the Site following any changes constitutes your acceptance of the updated Terms.

2. Registration and Security

Certain Features of the Somnivet platform require a professional account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain the confidentiality of your username and password
  • Be fully responsible for all activities that occur under your account
  • Notify Somnivet immediately of any unauthorized use of your credentials

3. AI Support and Clinical Limitations

The Somnivet platform utilizes artificial intelligence and clinical algorithms to support veterinary professionals. By using the Features, you acknowledge and agree that:

  • Decision Support Only: Somnivet is a decision-support tool. It does not practice veterinary medicine and is not a substitute for the professional judgment, diagnosis, or treatment decisions of a licensed veterinarian.
  • No Professional Relationship: Use of the platform does not create a veterinarian-client-patient relationship with Somnivet.
  • Accuracy and Verification: AI-generated content may contain inaccuracies. All outputs, including drug dosages, physiological interpretations, or protocol suggestions, must be independently verified by a qualified professional before being applied to patient care.
  • Sole Responsibility: Veterinary professionals remain solely and fully responsible for all clinical decisions, diagnoses, treatment plans, and patient outcomes. Reliance on Somnivet outputs does not transfer this professional responsibility.

4. User Conduct and Prohibited Activities

You agree to use the Site responsibly and in compliance with all applicable laws. You are strictly prohibited from:

  • Attempting to hack, damage, or interfere with the security or operation of the Site
  • Attempting to gain unauthorized access to other user accounts or Somnivet systems
  • Using automated systems (robots, spiders, scrapers) to access or collect content
  • Impersonating any person or entity or misrepresenting your affiliation

5. Intellectual Property and Data

5.1 Somnivet Ownership

All software, text, images, logos, and anesthesia-related algorithms (the “Content”) are protected by applicable intellectual property laws and are the property of Somnivet or its licensors.

Somnivet grants you a limited, non-exclusive, non-transferable license to use the platform for professional veterinary support purposes.

5.2 User Content and License Grant

You (or your organization) retain ownership of the data and information you submit through the platform (“User Content”).

By submitting User Content, you grant Somnivet a non-exclusive, worldwide, royalty-free license to use, process, and analyze such data for the purposes of:

  1. Providing, maintaining, and supporting the Services
  2. Improving clinical algorithms and training artificial intelligence models using de-identified or anonymized data
  3. Generating aggregated datasets for research, analytics, and product development

This license applies only for the duration necessary to fulfill these purposes and as otherwise permitted by applicable law.

5.3 Anonymization and Derived Models

To the extent that User Content is used for product improvement or AI development, Somnivet implements measures to ensure the data is de-identified or anonymized in accordance with applicable laws and industry standards.

Somnivet retains all rights, title, and interest in any anonymized or aggregated datasets, as well as in any models, algorithms, or improvements developed from such data.

5.4 Organizational Ownership

Where your access to Somnivet is provided by a veterinary practice, hospital, or other organization, that organization may be considered the controller or owner of the User Content in accordance with its internal policies and agreements.

6. Disclaimer of Warranties

THE SITE AND FEATURES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

Somnivet makes no warranties that:

  1. Somnivet is designed and maintained to provide a reliable and secure platform. However, we do not guarantee that the Services will be uninterrupted or entirely free from errors or technical issues.
  2. AI-generated content will be clinically accurate or appropriate for every case
  3. The Services will be free from data loss or technical interruptions

While Somnivet implements safeguards to protect data, users remain responsible for maintaining appropriate internal record-keeping practices in accordance with their professional obligations.

7. Limitation of Liability

To the maximum extent permitted by law, Somnivet and its directors, officers, and employees shall not be liable for any direct, indirect, incidental, or consequential damages resulting from:

  • Errors or inaccuracies in AI-generated outputs
  • Clinical decisions, treatments, or patient outcomes
  • Unauthorized access to accounts or external technical failures

8. Indemnification

You agree to defend and indemnify Somnivet from any claims, liabilities, damages, or expenses arising from:

  • Your breach of these Terms
  • Your misuse of the platform
  • Your clinical decisions or professional activities

9. Hyperlinks and Third-Party Services

The Site may contain links to third-party services or integrate third-party technologies, including artificial intelligence providers. Somnivet is not responsible for the content, policies, or availability of such services.

10. Applicable Law and Jurisdiction

These Terms are governed by the laws of the Province of Quebec and the laws of Canada. Any dispute shall be submitted to the exclusive jurisdiction of the courts of the District of Montreal, Province of Quebec.

11. Termination

Somnivet may suspend or terminate access to the Site at any time if you violate these Terms or if your use poses a risk to the platform or its users.

Upon termination, User Content will be handled in accordance with Somnivet’s Privacy Policy, including deletion or anonymization where applicable, subject to legal and contractual obligations.
